These terms and conditions (“Agreement”) set forth the general terms and conditions of your use of the qold.ca & CIQHR.com websites (“Website” or “Service”) and any of its related products and services (collectively, “Services”). This Agreement is legally binding between you (“User”, “you” or “your”) and QOLD Business & People Development Inc. (“Qold Business & People Development Inc.”, “we”, “us” or “our”). If you are entering into this agreement on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to this agreement, in which case the terms “User”, “you,” or “your” shall refer to such entity. If you do not have such authority, or if you do not agree with the terms of this agreement, you must not accept this agreement and may not access and use the Website and Services. By accessing and using the Website and Services, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. You acknowledge that this Agreement is a contract between you and Qold Business & People Development Inc., even though it is electronic and is not physically signed by you, and it governs your use of the Website and Services.

 

Age requirement

You must be at least 18 years of age to use the Website and Services. By using the Website and Services and by agreeing to this Agreement, you warrant and represent that you are at least 18 years of age.

 

CPD Training Disclaimer & Certificate Information

CIQHR provides Continuing Professional Development (CPD) accredited training for HR professionals. Our programs are designed to develop knowledge, skills, and applied HR capability, and include access to our private proprietary tools and materials.

 

Important:

Starting or completion of our training programs does not constitute certification of the participant, their organization, or their HR practices.

Participants will receive a Certificate of Completion only, confirming that they have completed a CPD-accredited program. This certificate represents training completion only and does not confer professional certification, licensing, or official authority to use CIQHR branding or claim certification.

 

Providing access to CIQHR tools and materials is for training purposes only and does not certify participants to deliver HR services or assessments independently.

 

By enrolling in any CIQHR training, participants acknowledge and agree that:

CIQHR is not responsible for how the participant applies the training content.

CIQHR makes no warranties or guarantees regarding professional certification, licensing, or legal compliance arising from the use of materials or knowledge gained.

Participants accept full responsibility for their professional actions and decisions following the training.

Please read this disclaimer carefully before enrolling or using any CIQHR materials. Continuing with the program constitutes your acceptance of these terms and releases CIQHR from any liability related to certification, professional licensing, or application of training content.

 

By enrolling in the program, participants acknowledge that the CIQHR program is a proprietary credential and does not replace or substitute for any regulated professional designation required by law in their jurisdiction.

 

User content

We do not own any content you submit to the Website while using the Service.  You shall have sole responsibility for the accuracy, quality, integrity, legality, reliability, appropriateness, and intellectual property ownership or right to use of all submitted Content. We may, but have no obligation to, monitor and review the Content on the Website submitted or created using our Services by you. You grant us permission to access, copy, distribute, store, transmit, reformat, display, and perform the Content of your user account solely as required for the purpose of providing the Services to you. Without limiting any of those representations or warranties, we have the right, though not the obligation, to, in our own sole discretion, refuse or remove any Content that, in our reasonable opinion, violates any of our policies or is in any way harmful or objectionable. Unless specifically permitted by you, your use of the Website and Services does not grant us the license to use, reproduce, adapt, modify, publish, or distribute the Content created by you or stored in your user account for commercial, marketing, or any similar purpose.

 

 INTELLECTUAL PROPERTY, CERTIFICATION & LICENSE TERMS

(For CIQHR Training & HR Tools)

1. Intellectual Property Ownership

All training materials, HR tools, templates, frameworks, methodologies, assessments, manuals, slide decks, branding elements, downloadable documents, and proprietary systems provided under the CIQHR programs, including but not limited to the LHRC Lead HR Consultancy Framework (“Materials”), are the exclusive intellectual property of CIQHR.

All rights are reserved.

No ownership rights are transferred to participants, licensees to use the material, or third parties.

 

2. Grant of Limited Use

Upon:

Upon full payment of program fees and Successful completion of required assessments (where applicable), CIQHR grants the participant a limited, non-exclusive, non-transferable, non-sublicensable approval to use the Materials strictly for professional HR consultancy services.

 

This use confirmation permits:

Use of tools with the participant’s clients

Internal application within their consulting engagements

Personal commercial use in delivering HR services

 

This use approval does NOT permit:

Resale of the Materials

Redistribution (free or paid)

Sub-licensing to third parties (Material)

Uploading to shared drives, public platforms, or marketplaces

Rebranding or removing CIQHR copyright notices

Training others using the Materials unless separately approved

 

3. Certification Status

Successful participants may be designated as:

“Confirmed to Use CIQHR Tools”

 

This training or certification:

Confirms completion of CIQHR training requirements to use the tools.

Confirms allowance to use CIQHR's proprietary tools under approval

Does NOT constitute government licensing

Does NOT create a partnership, employment, franchise, or agency relationship

Does NOT grant authority to represent CIQHR legally

 

The certificate may be revoked if:

Terms are breached

Fees remain unpaid

Tools are misused or redistributed

Ethical violations occur

CIQHR reserves the sole discretion in certification issuance and revocation.

 

4. No Implied Accreditation or Government Recognition

Unless explicitly stated in writing:

CIQHR certifications are private professional certifications

They are not government-issued credentials

They do not guarantee employment or regulatory recognition

If a specific training is CPD-accredited, it will be clearly identified as:

“CPD Accredited Training”

Such accreditation applies only to professional development hours and does not imply statutory licensing authority.

 

5. License Restrictions, Use, & Enforcement

Any unauthorized copying, sharing, resale, or distribution of CIQHR Materials constitutes:

Intellectual property infringement

Breach of contract

Grounds for immediate use termination

 

CIQHR reserves the right to:

Revoke certification

Terminate access

Pursue legal remedies

Seek financial damages

Participants agree that monetary damages alone may be insufficient and that injunctive relief may be pursued.

 

6. Branding & Representation

Attendees may state: “approved to use CIQHR HR Consultancy Tools.”

 

They may NOT state:

“Official CIQHR Partner”

“CIQHR Accredited Trainer.”

“Representative of CIQHR.”

Any wording implying ownership of CIQHR materials

All marketing claims must be accurate and not misleading.

 

7. Non-Compete & Derivative Works Restriction

Participants agree not to:

Copy or substantially replicate CIQHR frameworks

Create derivative works for resale

Develop competing toolkits based primarily on CIQHR Materials

General HR knowledge may be used, but proprietary structures, templates, and systems remain protected.

 

8. Term & Termination

The approval remains valid unless:

Revoked due to breach

Participant requests termination

Program terms are violated

 

Upon termination:

All use of Materials must cease immediately

Digital copies must be deleted

Certificate of completion must not be advertised

 

9. Limitation of Liability

CIQHR provides training and tools for education and professional use.

CIQHR is not liable for:

Business losses

Client disputes

Revenue outcomes

Legal compliance decisions made by participants

Participants are solely responsible for how tools are implemented in their business.

Partners reselling our programs

 

10. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of:

Ontario, Canada.

 

11. Limitation of Professional Authority

Certification confirms that the participant has demonstrated competency in the CIQHR methodology and tools.

CIQHR certification does not authorize the holder to provide legal advice, regulated employment law services, or any professional services requiring statutory licensing in their jurisdiction.

“The term Certified, if used mistakenly or by error, in this program or by resellers, reflects that participants have met competency standards established by CIQHR and have been awarded a certification of completion and competence to use the given tools. This certification is a private credential and does not imply government licensing, statutory authority, or regulatory approval of any kind.”

 

Backups

We are not responsible for the Content residing on the Website. In no event shall we be held liable for any loss of any Content. It is your sole responsibility to maintain an appropriate backup of your Content. Notwithstanding the foregoing, on some occasions and in certain circumstances, with absolutely no obligation, we may be able to restore some or all of your data that has been deleted as of a certain date and time when we may have backed up data for our own purposes. We make no guarantee that the data you need will be available.

 

Links to other resources

Although the Website and Services may link to other resources (such as websites, mobile applications, etc.), we are not, directly or indirectly, implying any approval, association, sponsorship, endorsement, or affiliation with any linked resource, unless specifically stated herein. We are not responsible for examining or evaluating, and we do not warrant the offerings of any businesses or individuals or the content of their resources. We do not assume any responsibility or liability for the actions, products, services, and content of any other third parties. You should carefully review the legal statements and other conditions of use of any resource that you access through a link on the Website. Prohibited uses

In addition to other terms as set forth in the Agreement, you are prohibited from using the Website and Services or Content: (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful acts; (c) to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances; (d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (f) to submit false or misleading information; (g) to upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Website and Services, third party products and services, or the Internet; (h) to spam, phish, pharm, pretext, spider, crawl, or scrape; (i) for any obscene or immoral purpose; or (j) to interfere with or circumvent the security features of the Website and Services, third party products and services, or the Internet. We reserve the right to terminate your use of the Website and Services for violating any of the prohibited uses.

 

Intellectual property rights

“Intellectual Property Rights” means all present and future rights conferred by statute, common law or equity in or in relation to any copyright and related rights, trademarks, designs, patents, inventions, goodwill and the right to sue for passing off, rights to inventions, rights to use, and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, rights to claim priority from, such rights and all similar or equivalent rights or forms of protection and any other results of intellectual activity which subsist or will subsist now or in the future in any part of the world. This Agreement does not transfer to you any intellectual property owned by QOLD Business & People Development Inc. or third parties, and all rights, titles, and interests in and to such property will remain (as between the parties) solely with QOLD Business & People Development Inc. All trademarks, service marks, graphics and logos used in connection with the Website and Services, are trademarks or registered trademarks of QOLD Business & People Development Inc. Other trademarks, service marks, graphics, and logos used in connection with the Website and Services may be the trademarks of other third parties. Your use of the Website and Services grants you no right or license to reproduce or otherwise use any of QOLD Business & People Development Inc. or third-party trademarks.

 

Limitation of liability

To the fullest extent permitted by applicable law, in no event will QOLD Business & People Development Inc., CIQHR, its affiliates, directors, officers, employees, agents, suppliers… be liable to any person for any indirect, incidental, special, punitive, cover or consequential damages (including, without limitation, damages for lost profits, revenue, sales, goodwill, use of content, impact on business, business interruption, loss of anticipated savings, loss of business opportunity) however caused, under any theory of liability, including, without limitation, contract, tort, warranty, breach of statutory duty, negligence or otherwise, even if the liable party has been advised as to the possibility of such damages or could have foreseen such damages. To the maximum extent permitted by applicable law, the aggregate liability of QOLD Business & People Development Inc. and its affiliates, officers, employees, agents, suppliers relating to the services will be limited to an amount no greater than one dollar or any amounts actually paid in cash by you to QOLD Business & People Development Inc. for the prior one month period prior to the first event or occurrence giving rise to such liability. The limitations and exclusions also apply if this remedy does not fully compensate you for any losses or fails of its essential purpose.

 

Indemnification

You agree to indemnify and hold QOLD Business & People Development Inc. and its affiliates, directors, officers, employees, agents, and suppliers harmless from and against any liabilities, losses, damages or costs, including reasonable attorneys’ fees, incurred in connection with or arising from any third party allegations, claims, actions, disputes, or demands asserted against any of them as a result of or relating to your Content, your use of the Website and Services or any willful misconduct on your part.

 

Severability

All rights and restrictions contained in this Agreement may be exercised. They shall be applicable and binding only to the extent that they do not violate any applicable laws and are intended to be limited to the extent necessary so that they will not render this Agreement illegal, invalid, or unenforceable. If any provision or portion of any provision of this Agreement shall be held to be illegal, invalid or unenforceable by a court of competent jurisdiction, it is the intention of the parties that the remaining provisions or portions thereof shall constitute their agreement with respect to the subject matter hereof, and all such remaining provisions or portions thereof shall remain in full force and effect.

 

Dispute resolution

The formation, interpretation, and performance of this Agreement and any disputes arising out of it shall be governed by the substantive and procedural laws of Ontario, Canada, without regard to its rules on conflicts or choice of law and, to the extent applicable, the laws of Canada. The exclusive jurisdiction and venue for actions related to the subject matter hereof shall be the courts located in Ontario, Canada, and you hereby submit to the personal jurisdiction of such courts. You hereby waive any right to a jury trial in any proceeding arising out of or related to this Agreement. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.

 

Changes and amendments

We reserve the right to modify this Agreement or its terms related to the Website and Services at any time at our discretion. When we do, we will revise the updated date at the bottom of this page. We may also provide notice to you in other ways at our discretion, such as through the contact information you have provided.

 

An updated version of this Agreement will be effective immediately upon the posting of the revised Agreement unless otherwise specified. Your continued use of the Website and Services after the effective date of the revised Agreement (or such other act specified at that time) will constitute your consent to those changes.

 

Acceptance of these terms

You acknowledge that you have read this Agreement and agree to all its terms and conditions. By accessing and using the Website, training, and Services, you agree to be bound by this Agreement. If you do not agree to abide by the terms of this Agreement, you are not authorized to access or use the Website and Services.

 

Communication Accuracy & Corrections
CIQHR makes every reasonable effort to ensure that all email communications, promotional materials, and website content relating to CIQHR & the LHRC – Lead HR Consultancy Training Program are accurate at the time of distribution.

In the event that incorrect, incomplete, or outdated information is communicated due to technical error, AI, human error, or system malfunction, CIQHR reserves the right to correct such information at any time without prior notice.

Any such correction shall supersede previous communication and shall not constitute a binding contractual obligation unless formally confirmed in writing through an official enrollment agreement or invoice.

 

Acknowledgment & Confirmation

CIQHR shall not be held liable for typographical errors, image errors, pricing inaccuracies, AI images, schedule discrepancies, or unintended representations distributed through automated systems or marketing campaigns. 

 

Accessing our LHRC training & tools, templates, frameworks, and proprietary materials, you formally acknowledge and agree to the following conditions.

 

You understand and acknowledge that CIQHR, managed by QOLD Business & People Development Inc., is a private professional training provider and is not a governmental body, licensing authority, or regulatory organization.

 

You are fully aware that the LHRC program provides a Certificate of Completion only, which will be issued exclusively after:

Successful completion of all required assessments.

Attendance and completion of the final session; and

Fulfillment of all program requirements.

 

You understand that this Certificate of Completion does not constitute a government-issued license, regulatory certification, legal authorization to practice, or mandatory professional designation in any jurisdiction.

 

All LHRC materials remain the exclusive intellectual property of CIQHR operating under QOLD Business & People Development Inc.

Upon successful completion and full payment, you are granted a limited, non-transferable, non-exclusive, revocable confirmation to use designated LHRC materials strictly for your own professional HR practice or consultancy work.

 

You will NOT:

Share, distribute, copy, forward, reproduce, license, sell, or resell the materials.

 

NB: We might not be selling our training in some of the listed countries. Kindly contact us before you register for any online training. 

 

Additional Terms and Conditions

 

 

1. Program Purpose

The Lead HR Consultancy (LHRC) program is a professional training program designed for educational and professional development purposes. Participation in the program aims to support HR professionals in developing consultancy knowledge, tools, and practical approaches.

Completion of the program does not guarantee employment, consulting opportunities, business results, or professional licensing.

 

2. Intellectual Property

All training materials provided as part of the LHRC program, including but not limited to presentations, videos, documents, templates, frameworks, case studies, tools, and course content, are the intellectual property of CIQHR/QOLD Business & People Development Inc.

These materials are protected by applicable intellectual property and copyright laws.

Participants are granted a limited, non-exclusive, non-transferable license to access and use these materials solely for their personal professional development.

Participants may not reproduce, distribute, publish, modify, sell, sublicense, or otherwise exploit any program materials without prior written permission from CIQHR/QOLD Business & People Development Inc.

 

3. Prohibited Use of Materials

Participants agree not to:

Copy or distribute course materials to third parties

Upload course materials to public platforms or websites

Record training sessions without authorization

Use LHRC materials to create or deliver competing training programs

Commercially exploit the course content

Any unauthorized use of program materials may result in termination of access and possible legal action.

 

4. Certification and Program Completion

Participants who successfully complete the training program may receive a certificate confirming completion of the LHRC program.

Such certificates confirm participation in the training program and do not represent a professional license, regulatory qualification, or government-issued certification.

 

5. Reference to the LHRC Program

Participants may reference their completion of the program in professional profiles, resumes, or professional networking platforms.

Acceptable references include:

“Completed Lead HR Consultancy (LHRC) Professional Training.”

Participants may not represent themselves as:

Licensed by LHRC

Accredited by LHRC

Authorized to deliver or teach the LHRC program

 

6. Use of the LHRC Name and Brand

The name Lead HR Consultancy (LHRC) and related branding elements, logos, and program names are the property of CIQHR/QOLD Business & People Development Inc.

Use of the LHRC name, branding, or logos for commercial or promotional purposes without written authorization is prohibited.

 

7. Confidentiality

Participants agree to respect the confidentiality of proprietary methodologies, strategies, and internal frameworks shared during the training program.

Such materials may not be disclosed or shared with third parties without permission.

 

8. Limitation of Liability

The LHRC training program is provided for educational purposes only.

CIQHR/QOLD Business & People Development Inc shall not be liable for any direct or indirect losses, business decisions, financial outcomes, or professional results arising from participation in the program.

Participants remain responsible for how they apply the knowledge and tools provided.

 

9. Payments and Refunds

We are committed to delivering high-quality professional training through the Lead HR Consultancy (LHRC) Program. We encourage all participants to review the program details carefully before enrolling.

 

Participants may request a refund within forty-eight (48) hours (2 calendar days) from the official date of payment, provided that no substantial portion of the program has been accessed or completed. Refund requests must be submitted in writing to the Company’s official email within this timeframe.

 

After the 48-hour period, payments become non-refundable, as access to proprietary materials, structured content, intellectual property, and program resources is granted immediately upon enrollment.

 

Please note that refunds will not be provided in situations including, but not limited to:

Change of mind after enrollment

Personal, professional, or scheduling conflicts

Failure to attend live sessions or scheduled meetings

Failure to complete assignments or program requirements

Voluntary withdrawal from the program

Technical limitations on the participant’s side (internet, device, software, etc.)

Removal or dismissal due to non-compliance with program policies or code of conduct

Failure to follow guidance, instructions, or terms and conditions

 

Enrollment in the LHRC Program constitutes acknowledgment and acceptance of this refund policy.

We remain committed to supporting participants throughout their learning journey up to 3 months after registration and encourage communication should any concerns arise during the program.

 

9.1.Payment Disputes and Chargebacks

By enrolling in the Lead HR Consultancy (LHRC) Program and completing payment, the participant acknowledges and agrees to the Company’s Refund Policy and Terms and Conditions.

 

Participants agree not to initiate or file a chargeback, payment reversal, or dispute with their bank or payment provider without first contacting QOLD Business & People Development Inc. in writing to seek resolution.

 

In the event a chargeback or payment dispute is initiated:

The Company reserves the right to immediately suspend or terminate access to all program materials, platforms, certifications, and services.

Any issued certificates, recognitions, or credentials may be deemed null and void during the dispute process.

The participant agrees that documented acceptance of the Terms and Conditions, proof of access to program materials, login records, attendance records, communications, and system activity logs may be submitted as evidence to the financial institution or payment processor.

 

If a chargeback is found to be invalid or inconsistent with the agreed Refund Policy, the Company reserves the right to:

Recover the full outstanding amount

Seek reimbursement of administrative fees, banking penalties, and dispute-related costs

Pursue recovery through lawful collection procedures where applicable

The participant acknowledges that access to digital training materials, proprietary frameworks, templates, recordings, and intellectual property constitutes delivery of services.

 

The Company remains committed to resolving concerns professionally and encourages participants to communicate directly to reach an amicable solution before initiating any formal payment dispute.

 

10. Modification of Program Content

CIQHR/QOLD Business & People Development Inc reserves the right to update, modify, or improve program materials, course structure, or training delivery methods at any time to enhance the learning experience.

 

11. Governing Law

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the applicable laws of Canada.

 

12. Acceptance of Terms

By enrolling in or accessing the LHRC program, participants acknowledge that they have read, understood, and agreed to these Terms and Conditions.

 

13. Non-Recording and Content Protection

To protect the integrity of the training program, participants are strictly prohibited from recording, photographing, screen capturing, or otherwise reproducing any live or recorded training sessions without prior written authorization.

Unauthorized recording or distribution of training materials may result in immediate termination of access to the program and potential legal action.

 

14. No Unauthorized Training or Program Replication

Participants may not use the content, structure, methodologies, frameworks, templates, or materials from the LHRC program to create, promote, or deliver training programs that substantially replicate or compete with the LHRC program.

Nothing in this clause restricts participants from practicing HR consulting or using general professional knowledge gained through the training.

 

15. Online Platform Security

Participants agree not to:

Share login credentials with third parties

Attempt to bypass security features of the training platform

Download or systematically copy course materials

Use automated tools to access program content

Violation of these rules may result in suspension or termination of access to the training program.

 

16. Enforcement of Intellectual Property Rights

CIQHR/QOLD Business & People Development Inc reserves the right to take appropriate action to protect its intellectual property, including but not limited to suspension of access, removal of certification privileges, and legal remedies available under the laws of Ontario and Canada.

 

17. Updates to Terms and Conditions

CIQHR/QOLD Business & People Development Inc reserves the right to update or modify these Terms and Conditions at any time to reflect changes in program structure, legal requirements, or operational needs.

Participants will be bound by the most current version of the Terms and Conditions available at the time of program access.

 

Clause 1: CIQHR/QOLD Business & People Development Inc reserves the right to suspend or terminate access to the LHRC program without refund if a participant violates these Terms and Conditions, including misuse of intellectual property, unauthorized distribution of materials, or misrepresentation of certification.

 

Clause 2: Access to the LHRC program is granted to the registered participant only and may not be transferred, shared, sublicensed, or provided to any other individual or organization without written permission.

 

Clause 3: Participants may not rebrand, modify, adapt, or present LHRC program materials, frameworks, or methodologies as their own training program or educational product.

 

Clause 4: No Resale, Redistribution, or Derivative Programs

Participants may not:

Share program materials with third parties

Upload or publish any part of the training program on public platforms

Use LHRC materials to create, deliver, or promote competing training programs

Nothing in this clause restricts participants from working in HR consulting or applying general knowledge acquired through the program.

 

Clause 5: Confidentiality

Participants agree to maintain the confidentiality of all proprietary frameworks, methodologies, tools, examples, and strategies shared during the program, whether referenced in materials or delivered verbally.
Disclosure of these materials to third parties without written consent is prohibited.

 

Clause 6: Limitation of Liability

The LHRC program is provided for educational purposes only. CIQHR/QOLD Business & People Development Inc. is not liable for business outcomes, employment results, or financial decisions made by participants based on the program.

 

Clause 7: Payment, Refunds, and Non-Transferability

Program fees are non-refundable once access has been granted unless otherwise stated in writing.

Access is non-transferable; participants may not provide access to other individuals or organizations without written authorization.

 

Clause 8: Enforcement and Legal Rights

CIQHR/QOLD Business & People Development Inc. reserves the right to:

Suspend or terminate program access for participants violating these Terms

Take legal action to protect its intellectual property, frameworks, and branding

Seek remedies for unauthorized reproduction, distribution, or derivative use of program materials

All disputes are subject to the laws of the Province of Ontario and the applicable laws of Canada.

 

Updates and Modifications

CIQHR/QOLD Business & People Development Inc. may update or modify these Terms at any time. Participants accessing the program are bound by the most current version of the Terms and Conditions.

 

Photo, Identity Verification, and Image Use

As part of the LHRC program, participants may be required to:

  • Provide a photo for certificate issuance or program records.
  • Submit proof of identity to verify participation, authenticity, and to prevent misuse of program access.

 

By participating in the program, participants agree that:

Photos, video captures, or images submitted may be used solely for program administration, certification, marketing, or promotional purposes by CIQHR/QOLD Business & People Development Inc.
